Terms of Service

These Terms & Conditions govern your use of the Devtoniq website and, where applicable, our services. By accessing our website or engaging our services, you agree to these terms.

Our Services

Devtoniq provides digital services that may include:

  • Branding and strategy
  • Logo and visual identity design
  • Website design
  • Website development
  • Website redesign
  • E-commerce development
  • Custom software and SaaS development
  • LMS and online learning platform development
  • AI and automation integrations
  • Content and SEO services
  • Social media and Canva template design
  • Email and newsletter design
  • Website maintenance and support

The exact services, deliverables, timelines, and fees for each project will be agreed upon separately with the client.

Project Scope

Before starting a project, we will agree on the scope of work, deliverables, timeline, fees, and other relevant requirements.

Any work requested outside the agreed scope may require an additional fee and may affect the project timeline.

Changes to the project scope should be discussed and agreed upon before additional work begins.

Client Responsibilities

To help projects run smoothly, clients are responsible for providing information, content, materials, access, approvals, and feedback reasonably required to complete the project.

Delays in providing required materials, feedback, approvals, or access may affect the project timeline.

Clients are responsible for ensuring that any content, images, logos, documents, or other materials they provide can legally be used for the project.

Payments

Project fees, deposits, payment schedules, and payment methods will be agreed upon before work begins.

Unless otherwise agreed in writing:

  • A project may require an upfront deposit before work begins.
  • Remaining payments are due according to the agreed payment schedule.
  • Additional work outside the agreed scope may be billed separately.
  • Work may be paused if outstanding payments are overdue.

Revisions

The number of included revisions, where applicable, will be specified in the project agreement or proposal.

Additional revisions or changes outside the agreed scope may be billed separately.

Feedback should be provided within a reasonable timeframe to help keep projects on schedule.

Timelines

We will make reasonable efforts to meet agreed project deadlines.

However, timelines may change due to:

  • Changes in project scope
  • Delays in receiving content or feedback
  • Third-party services
  • Technical issues
  • Client-requested changes
  • Circumstances outside our reasonable control

We will communicate significant delays as soon as reasonably possible.

Third-Party Services

Some projects may require third-party platforms, software, plugins, hosting providers, APIs, payment processors, or other external services.

These services may have their own:

  • Terms and conditions
  • Fees
  • Usage limits
  • Privacy policies
  • Technical limitations

Devtoniq is not responsible for changes, outages, pricing, or functionality of third-party services that are outside our control.

Website Hosting & Domains

Where applicable, Devtoniq may assist with hosting, domains, DNS configuration, migrations, and deployment.

Unless specifically included in a project agreement, domain registration, hosting, premium plugins, software subscriptions, licenses, and other third-party costs are the client's responsibility.

Intellectual Property

Unless otherwise agreed in writing, the client receives ownership or appropriate usage rights to the final approved deliverables once all project fees have been paid.

Devtoniq may retain ownership of:

  • Pre-existing tools
  • Frameworks
  • Templates
  • Processes
  • Code libraries
  • Reusable components
  • Internal systems
  • Other materials developed independently of the client's project

Third-party assets, fonts, plugins, stock images, software, and other licensed materials remain subject to their respective licenses.

Client Content

Clients retain ownership of content and materials they provide to Devtoniq.

By providing content to us, you confirm that you have the necessary rights and permissions to use that content for the project.

You are responsible for claims arising from content that you provide without the appropriate rights or permissions.

Portfolio & Marketing

Unless otherwise agreed in writing, Devtoniq may display completed work in its portfolio, website, social media, presentations, and other marketing materials.

If a project contains confidential or sensitive information, please let us know before publication.

SEO & Marketing Results

Where SEO or marketing services are provided, Devtoniq will make reasonable efforts to follow recognized SEO and content best practices.

However, we cannot guarantee:

  • Specific search rankings
  • A specific amount of website traffic
  • A specific number of leads or sales
  • Search engine indexing
  • Algorithm outcomes

Search engine rankings and digital marketing results can be affected by many factors outside our control.

Software & Technical Limitations

For custom software, SaaS, integrations, and other technical projects, we aim to build reliable solutions based on the agreed requirements.

However, no software can be guaranteed to be completely free of bugs, vulnerabilities, interruptions, or compatibility issues.

Ongoing maintenance, hosting, third-party services, security updates, and future feature development may require separate agreements.

Confidentiality

We will make reasonable efforts to keep confidential information shared with us during a project private and use it only for purposes related to the project or business relationship.

Confidentiality obligations may be further defined in a separate agreement where required.

Cancellation & Termination

Either party may request to end a project subject to the terms of the applicable project agreement.

If a project is cancelled after work has begun, the client may be responsible for payment for work already completed and approved expenses incurred up to the cancellation date.

Specific cancellation and refund terms may be included in individual project agreements.

Limitation of Liability

To the extent permitted by applicable law, Devtoniq will not be responsible for indirect, incidental, or consequential losses arising from the use of our website, services, or third-party platforms.

Our total liability relating to a specific project will generally be limited to the fees paid to Devtoniq for that project, except where otherwise required by law.

Changes to These Terms

We may update these Terms & Conditions from time to time.

Updated terms will be posted on this page with a revised “Last Updated” date.

Continued use of our website after changes are posted constitutes acceptance of the updated terms, where legally applicable.

Governing Law

These Terms & Conditions will be governed by the applicable laws of India, unless otherwise agreed in writing or required by applicable law.

Any disputes will be subject to the applicable courts or dispute-resolution processes in Karnataka, India.
